"HYBE betrayed Min Heejin first with media play" Court gives harsh criticism

SOURCE: [단독] "하이브, 언플로 먼저 민희진 배신" 재판부 작심 비판

HYBE has 'completely lost' in the shareholder agreement lawsuit against Min Heejin. The court rejected most of HYBE's claims and emphasized that HYBE was the one who damaged the trust first. Notably, the court also pointed out HYBE's aggressive media play, which has been constantly criticized by people in the industry.

According to the first trial verdict obtained by this paper on the 20th, the Seoul Central District Court stated that HYBE was the first to bring the conflict to the public. In other words, HYBE started the media play first.

■ “HYBE started media play first... HYBE is the one who broke the trust”

The court stated, "The protest emails sent by Min Heejin’s side on April 3 and April 16, 2024 showed that the conflict remained internal. However, HYBE’s exclusive news report on April 22, 2024 made the conflict completely public." They added, "Min Heejin’s press conference that was held that same day appears to be based on her right to defend herself."

The court also pointed out that the timing of HYBE's audit and the media reports overlapped. The court said, "On April 22, 2024, HYBE launched an audit for ADOR. They demanded Min Heejin to resign from the CEO position and began the process to fire her." They noted, "On the same day, an exclusive article was reported with the title 'HYBE Launches Sudden Audit on ADOR, the Agency of NewJeans.'"

The court continued, "Although HYBE claimed Min Heejin would have used NewJeans to sell ADOR shares at a low price and take the loss, there appears to be no evidence that HYBE had identified this in advance and taken proper action."

Most importantly, the court explicitly stated that the decline in HYBE's stock price was caused by their own excessive media play.

The court said, "HYBE's stock price dropped significantly (7.8%) on April 22, 2024. This decline seems to be the result of the conflict becoming public through the exclusive article and the heated battle that followed." They added, "In their breach-of-duty complaint, HYBE claimed a loss of 800 billion KRW in market value, which seems to reflect this stock trend."

■ “Nothing more than private talk without action” ... Claims of ‘management takeover’ and ‘stealing NewJeans’ claims all rejected

The court did not accept most of HYBE's arguments.

Regarding HYBE's claim that ‘Min Heejin tried to steal management rights,’ the court said, "It is true that she looked for ways to weaken HYBE's control over ADOR and to rule the agency independently. However, these were plans she made on the condition that her contract negotiations failed and assuming she had the owner's consent after exercising er 'put option' rights in 2025. The court ruled, "Simply looking for ways to make ADOR independent can not be seen as a serious violation of the shareholders' agreement."

The court also dismissed HYBE's claim that 'Min Heejin tried to steal NewJeans.' The court stated, "A director’s actions are within their management freedom, so she cannot be held responsible for damages to the company."

In other words, the court judged that the 'betrayal' HYBE claimed: 1. was just a casual conversation that wasn't put into action, 2. was only a hypothetical scenario based on HYBE's consent, and 3. that HYBE broke the trust by hastily launching an audit and leaking it to the media.

■ The truth behind the “ILLIT is a NewJeans copycat” controversy

Additionally, the court also judged Min Heejin's suspicion that 'ILLIT copied NewJeans' as a fair opinion. The court said, "Her claim wasn't about specific items, but that ILLIT's overall impression is similar to NewJeans. This is an expression of opinion or judgment, not a statement of fact."

The court also accepted Kakao Talk messages between BTS' V and Min Heejin as evidence. At the time, V reportedly said, "(People always talk about plagiarism, it never stops) Sigh... I know right. I also saw it and thought 'this looks similar...'" Furthermore, the court acknowledged that HYBE's Chairman, Bang Sihyuk, produced ILLIT's debut album.

■ “NewJeans value is 2 trillion KRW, same level as BLACKPINK” ... Recognition of Min Heejin’s achievements

The court even compared NewJeans to BLACKPINK, stating, "The only comparable girl group is BLACKPINK," and estimated that, "The fair value of ADOR within two years could reach 2 trillion KRW."

The court also noted, "Min Heejin's side had estimated ADOR's market value at 0.8 to 1.5 trillion KRW in early 2024. They compared NewJeans to BLACKPINK, noting that YG reached a peak market value of 1.8 trillion KRW because of BLACKPINK, before declining amid contract renewal risks. The 2 trillion KRW estimate assumes that the alliance between NewJeans, Min Heejin, and HYBE continues."

The court also accepted Min Heejin’s criticisms of HYBE as evidence.

During a meeting with HYBE on January 25, 2024, Min Heejin said, "If you have a conscience, stop exploiting them. Ever since NewJeans debuted, everyone inside and outside the company is copying them. PLEDIS, BELIFT Lab, everyone is all copying NewJeans." She added, "Former CEO Park Jiwon told me they're desperate to make a 'male NewJeans' and that I should make a boy group. In this situation, why would I be crazy enough to make a boy group when I know everything will be taken from me like this?"

Regarding this, the court quoted a document explaining why she was cleared of charges on breach of trust, mentioning that her actions were caused by resentment of semi-illegal practices, such as pushing high first-week album sales and copying between subsidiaries.

Because of this ruling, HYBE must pay Min Heejin and others 25.6 billion KRW for stock payments. On the other hand, all of HYBE's claims were dismissed. HYBE submitted an appeal on the 19th and is continuing to fight the court's decision.

Min Heejin meets with U.S. lawyers over 'HYBE reverse-viral lawsuit' ... "The pieces are coming together"

SOURCE: 민희진, ‘하이브 역바이럴 소송’ 미국 변호사 회동…“조각 맞춰지는 중”

Former ADOR CEO Min Heejin has met with a U.S. lawyer who is currently handling the lawsuit involving the American PR firm TAG PR.

On the 19th, Min Heejin posted on her social media, "I had a meeting in Seoul with the lawyers handling the TAG PR lawsuit in the U.S. Thank you so much for the great advice."

She continued, "I was able to hear firsthand how U.S. artists involved in the lawsuit are responding to TAG PR's actions. I am very grateful to receive detailed and meaningful advice. The pieces are coming together one by one. I think I'll have a story to share soon."

Previously, Min Heejin raised allegations that TAG PR, a former subsidiary of HYBE, had engaged in 'reverse-viral' activity against her. 'Reverse-viral' refers to activities aimed to create negative public opinion.

On YTN Radio's 'Kim Junwoo's News Showdown' last year, Min Heejin stated, "Ever since the dispute began, I felt there were strange signs from overseas. I wodndred, 'How do people abroad even know me? Why are they spreading this strange viral content?'

She continued, "Actually, before that, a Billboard reporter contacted me. They said, 'I received a tip. The content was so odd that I wanted to verify it with you personally." When I asked where it came from, they said it was from TAG PR, which shocked me. After that, I was even more surprised to hear that my name appeared in a complaint for another lawsuit in the U.S."

According to a report by Hankyoreh last December, U.S. PR firm Jonesworks and its founder, Stephanie Jones, filed a complaint in the U.S District Court for the Southern District of New York on December 8, naming the founder of TAG PR and others as defendants. In the complaint, they reportedly claim that the founders of TAG PR engaged in organized 'reverse-viral' campaigns to steal their clients.

In response, HYBE stated, "This is a unilateral claim made by a single party in a legal dispute that has nothing to do with HYBE or HYBE America," adding, "Neither HYBE or HYBE America has ever been involved in the matters stated in the complaint."

Meanwhile, Min Heejin parted ways with ADOR in November 2024 and established a new entertainment agency, OOAK.

Former CEO Min Heejin's apartment in Yongsan is also seized ... Creditor is ADOR

According to an investigation by Ilyo News, a provisional seizure of 500 million KRW has been placed on an apartment in Yongsan-gu, Seoul, owned by former ADOR CEO Min Heejin. This property is separate from the multi-unit villa in Yeonnam-dong, Mapo-gu, which was previously seized in November 11, 2024.

On December of 23 last year, the 21st Civil Division of the Seul Western District Court approved ADOR's application for a provisional seizure of Min Heejin's property worth approximately 500 million KRW. A provisional seizure is a legal measure taken by a creditor to secure assets before a final court ruling. Assets placed under provisional seizure can't be sold or used until the main lawsuit is concluded.

This seizure is related to an incident that occurred while Min Heejin was still serving as CEO of ADOR, involving A, the head of ADOR's style directing team in charge of NewJeans. A allegedly received fees directly from external advertisers. The National Tax Service ruled that the 700 million KRW in fees should've been recognized as ADOR's revenue and imposed additional taxes on ADOR. ADOR claimed that Min Heejin is liable for damages caused to the company, and the court accepted this claim.

Regarding this matter, Ilyo News has attempted to reach Min Heejin on the 13th, but she couldn't be reached.

The issue of the penalty taxes was previously mentioned during a hearing held on November 27 last year at the Seoul Central District Court in the lawsuit between HYBE and Min Heejin regarding the termination of shareholders' agreement.

This is not the first time that Min Heejin's property has been seized. On November 11, 2024, a 100 million KRW provisional seizure was placed on her property in Mapo-gu by a former ADOR employee identified as B.

The property in Yongsan-gu that was recently seized was purchased by Min Heejin on September 16, 2019 for 1.645 billion KRW. At the time, the maximum debt amount on the mortgage was 540 million KRW. It has been confirmed that Min Heejin fully repaid the loan a year later on November 26, 2020.

Meanwhile, NewJeans' members previously demanded the reinstatement of Min Heejin, who had been dismissed following conflicts with HYBE. When their demands were not met, they claimed their exclusive contracts were terminated in November 2024 due to ADOR's breach of contract. ADOR insisted that the contracts were still valid and filed a lawsuit in December 2024 to confirm the contract's validity, along with an injunction requesting from the members to be banned from engaging in independent activities until a ruling on the main case.

The court accepted ADOR's request for injunction and also ruled in ADOR's favor on the confirmation of the validity of the contracts. Following this, Minji, Hanni, Haerin, and Hyein expressed their intention to return and rejoined ADOR. However, Danielle was removed from the group.

On December 29 last year, ADOR filed a lawsuit seeking approximately 43.1 billion KRW in damages against Danielle and Min Heejin. ADOR stated that they intend to hold both parties legally responsible for causing the conflict, NewJeans' departure, and delaying the return of the members.

1. [+648][-49] Exactly... They could've made tens of billions and lived comfortably producing music. Their greed for money ruined everything.

2. [+566][-57] If only she wasn't that greedy... In the end, she's the one who cut off NewJeans' wings right when the girls were about to fly. Everything is a mess now. There's such a thing as timing and luck, and she's missing all of it.

3. [+520][-45] I guess the shaman didn't tell her that things would turn out like this, huh?

4. [+47][-0] She treated NewJeans as if the girls were her own property... Her own greed is the one that caused all this disaster...

How the penalty was calculated at 30 billion KRW out of the 43.1 billion KRW lawsuit against Danielle?

ADOR has filed a 43.1 billion KRW lawsuit against Danielle, notifying her of the termination of her exclusive contract, and stated that she can no longer work as a NewJeans' member. Right now, attention is focused on how the 'penalty,' a fine for breach of contract, was calculated at 30 billion KRW.

According to the entertainment industry on the 8th, ADOR filed a lawsuit totaling 43.1 billion KRW against Danielle, her mother, and former ADOR CEO Min Heejin last month. The penalty amounts to 30 billion KRW, alongside a claim for 3.1 billion KRW in damages for non-fulfillment of the contract. ADOR is also claiming 10 billion KRW in damages against Danielle's mother and former CEO Min Heejin, holding them responsible for NewJeans' departure and the delay in their return.

The total amount of 43.1 billion KRW is the sum of 13.1 billion KRW in compensation for actual damages caused by the breach of contract and 30 billion KRW in penalty clause for the breach of contract.

Article 15, Clause 2 (Termination or Cancelation of Contract) of ADOR-NewJeans exclusive contract, which was previously disclosed in a court ruling, states, "Under the circumstances described above, even though the plaintiff (ADOR) is faithfully performing its important duties according to the contract, if the defendants (NewJeans' members) unilaterally terminate this exclusive contract during the contract period or violate important contract terms with the intent to unilaterally terminate it, the defendants shall pay the plaintiff the amount specified in Clause 1 of this Article as a penalty, separate from the damages in Paragraph 1 of this Article."

The criteria for calculating the penalty clause are also included in the exclusive contract. It is defined as: "Regardless the period of entertainment activities, the amount shall be calculated by taking the monthly average revenue during the period in which actual sales occurred within the two years before the contract ends, and multiplying it by the number of remaining months in the contract term."

Previously, all five members of NewJeans (Minji, Hanni, Danielle, Haerin, and Hyein) notified ADOR of their contract termination on November 29 last year. Based on that date, ADOR's annual revenue for the prior 2 years was approximately 110.3 billion KRW in 2023 and 111.2 billion KRW in 2024.

Since NewJeans is the only artist under ADOR, ADOR's revenue can be viewed as NewJeans' revenue. Divided by the five members, the annual revenue per member is roughly 22 billion KRW. Divided by 12 months, Danielle's monthly revenue is estimated to be around 1.8 billion KRW.

NewJeans, who debuted in July 2022, had an exclusive contract with ADOR until July 2029. Multiplying Danielle's average monthly revenue of 1.8 billion KRW by the remaining 56 months of the contract results in approximately 100.8 billion KRW. ADOR set the penalty at 30 billion KRW, which is less than 1/3 of that amount.

A penalty clause is different from liquidated damages. While liquidated damages strongly focus on compensating the other party's losses, a penalty clause is similar to a 'fine,' where it is agreed in advance that the debtor will pay a certain amount of money or provide other benefits to the creditor if they fail to fulfil their obligations.

The Supreme Court has ruled that a penalty clause is not automatically invalid simply because the amount is large. The penalty cannot be reduced even if the actual damages are smaller.

However, if the amount is significantly far too high compared to the actual damage, the court may decide that all or part of it is invalid under Article 103 of the Civil Act (Violation of Public Order and Morals). Therefore, it appears that ADOR set the penalty at 30 billion KRW to avoid the risk of the clause being ruled invalid, which would lower the penalty amount.

Meanwhile, the lawsuit filed by ADOR against Danielle has been assigned to Civil Division 31 of the Seoul Central District Court (Presiding Judge Nam Insoo), which is also currently handling the lawsuit over the termination of the shareholder agreement between HYBE and former CEO Min Heejin, as well as the claim for the stock purchase price after the put option was exercised.

Court rules "NewJeans must maintain their exclusive contract with ADOR

On October 30, the court ruled that NewJeans must uphold their exclusive contract with ADOR. The court stated, "The dismissal of former CEO Min Heejin alone is not a good enough reason for contract termination." The court added that NewJeans can continue to plan and do their activities even without former CEO Min Heejin.

The court further stated that the conflict between Min Heejin and HYBE started from Min Heejin's side, claiming that she attempted to create bad public opinion about HYBE because she wanted to take ADOR and NewJeans out of the company. As a result, HYBE conducted an audit and eventually dismissed her.

The Seoul Central District Court Civil Agreement Division 41 ruled in favor of ADOR in the lawsuit filed to confirm the validity of the exclusive contract with NewJeans. This ruling comes about 11 months after NewJeans held a press conference on 28 November 2024 to announce 'cancellation of exclusive contract with ADOR.'

Will ADOR and NewJeans' contracts stay valid? ... First court ruling today

The court is set to deliver a ruling on the contract dispute between NewJeans and ADOR today, October 30.

The Seoul Central District Court Civil Division 41 will announce its verdict at 9:50 AM today in the lawsuit filed by ADOR against the five NewJeans member to confirm that their exclusive contracts are valid.

The court previously attempted mediation twice in August and September, but since both sides failed to reach an agreement, the case will be closed with today's verdict.

Last November, NewJeans claimed that ADOR had violated their exclusive contract, declaring that the contract had been terminated and announced their plans to pursue independent activities.

In response, ADOR filed a lawsuit in December, arguing that the contracts were still valid. They also filed an injunction to prevent the members from pursuing individual activities until a final ruling was made.

The court granted ADOR's injunction, but NewJeans objected and even appealed the decision, but was dismissed. As a result, they are restricted from any independent activities without ADOR's prior approval until the final verdict today.

In May, the court also approved ADOR's request for a indirect compulsory order, ruling that if NewJeans engages in an independent activities, each member would have to pay 1 billion KRW to ADOR per violation.

In this main lawsuit, both sides argued over whether the exclusive contracts are stil valid and whether there are legitimate reason to terminate the contract.

ADOR claims, "The exclusive contract with the company is still valid and the company have fully supported them. There is absolutely no reason to terminate the contract." In contrast, NewJeans argues, "Trust was broken following the removal of former CEO Min Heejin," among other issues.

Unlike criminal trials, attendance is not mandatory in civil trials. However, all five NewJeans members personally appeared in court during the injunction hearing in March. Minji and Danielle also attended the first mediation session held in August.

Yonhap News

[+43][-13] ADOR and HYBE fired Min Heejin, who was the core producer behind NewJeans, without any discussion with the members, and they had no backup plan after her dismissal. So, NewJeans are not terminating their contract just because they're 'upset,' just like what the haters want to believe. NewJeans terminated their contract due to complete breakdown of trust, because these companies acted like they were trying to ruin NewJeans.

[+50][-29] If this contract is nullified, every contract in South Korea might as well just be worthless scrap paper...

[+25][-13] They just have to pay the 600 billion KRW penalty... They should stick to the contract. Why are they being so unreasonable!?? Go ask your so-called 'spiritual mother' Ms. Min to pay it for you.

[+33][-22] I heard ADOR still provided staff support for them even when they were carrying out unauthorized solo activities... That's so mean of them.

[+22][-1] There is clearly a contract... And now they're just throwing a tantrum because they want to leave without paying the penalty because they feel 'upset'? That's not right. And they even went as far as to raise the issue at the National Assembly, claiming to be victims of workplace harassment. What about the other rookie group who got flooded with hate comments and suffered mentally because of all this mess?

ADOR makes a request to the press to use the name NewJeans instead of NJZ.

ADOR stated, "NewJeans members have announced plans to use a group name that was not agreed upon with ADOR, causing confusion among reporters. The exclusive contracts between NewJeans members and ADOR still remain legally valid, and claims that it has been terminated are unilateral assertions."

They continued, "We have filed for an injunction to affirm ADOR's status as the group's management company under the exclusive contract, along with a lawsuit to confirm the validity of the exclusive contract, and we are currently awaiting the court's decision. We ask reporters to use the official team name 'NewJeans' when writing articles as it is the legally recognized name under the contract," emphasizing the importance of exclusive contracts in the entertainment industry.

ADOR said, "We ask for your cooperation in ensuring accurate news coverage. We will do our best to put an end to the confusion as soon as possible and continue to deliver great music and content."

The following is the full statement from ADOR:

-Goosebumps.

-Weren't they the ones who said they were going to discard NewJeans and start afreshㅋㅋㅋㅋㅋ Go ahead and do it!!!

-What makes you think you have the rights to request that? NJZ🔥🔥🔥🔥🔥 What kind of nonsense request is this?

-Who do they think they are?? NJZ is not even their artists anymore. So why are they still trying to tell the girls what to and not to do?

-Truly evil.

-This is honestly creepy. They’re like crazy stalkers. Why won’t they stop when the members clearly don’t want this?

-They’re probably going to keep harassing the girls nonstop...

-NJZ sounds way cooler anyway.

-Why are they so f*cking obsessed? Our Angels will win.

-ㅋㅋㅋㅋㅋ Ah this is so funny ㅋㅋㅋㅋㅋㅋ

-It makes sense though. The girls are still under contract, so technically, they're still NewJeans.

-Who do they think they are?? So clingy.

-Shut up, ADOR.

ADOR on NewJeans' name change: "We regret the unilateral decision they made ... Hope to clear misunderstandings."

On the 7th, ADOR released an official statement to TV Report, saying, "We would like to share our position regarding the disclosure of NewJeans' group name."

On the same day, NewJeans announced their return to activities with the new group name 'NJZ.' In response, ADOR stated, "We deeply regret that the members made this unilateral decision before a legal judgment was made regarding the validity of the exclusive contracts with ADOR."

Emphasizing their commitment to protecting NewJeans' brand value, ADOR stated, "We want to once again inform that we are always ready to meet with NewJeans' members or their legal representatives to clear up any misunderstandings and also to discuss the future plans for the group."

NewJeans and ADOR have been in conflict over their exclusive contracts since last year. Currently, NewJeans claims that the exclusive contract has been terminated due to ADOR's fault. In a press conference about the termination, NewJeans members claimed that ADOR failed to fulfill its duty to manage the group. The group also explained that they had given ADOR 14 days to make corrections, but the agency failed to do so, and left issues unresolved.

ADOR, however, insists that the contract remains valid. In December last year, the company filed a lawsuit with the Seoul Central District Court to confirm the validity of the exclusive contracts and later requested an injunction to prohibit the group from signing contracts or engaging in promotional activities under different management. The legal battle is set to begin in full next month.

-Didn't NewJeans already give them a f*cking long time...?

-Just let them go...

-Weren't they the ones saying they were going to discard NewJeans and start afresh?

-ADOR treated NewJeans so poorly while they worked together, and now they're acting like it's just some misunderstanding?ㅠ Just start afresh like you said you were gonna do.

-NewJeans gave you enough time. Just stop now.

-Stop this. At this point, ADOR is hurting its own reputation more than NewJeans'.

-Always with the same pathetic excuses...ㅋㅋㅋ

-ADOR is only saying this because it's going to benefit them in the court... They don't actually mean it.

-What NewJeans is doing is actually very risky... But I'm sure they know what they're doing.

-They're kids. Just leave them alone. Does ADOR really need to ruin their entire lives like this?

-Ah... GTFO. Look at them clinging like there's no tomorrow, it's disgusting. They're acting like some desperate ex.

-I wonder what they've actually done to try to resolve the so-called misunderstanding.

-Just shut up and disappear.

-Fake ADOR is still at it. Why are they doing this? They're basically strangers now.

NewJeans sends notice to ADOR ... "We will terminate our contract if our demands are ignored"

Yeonhap News | Journalist Lee Taesoo

https://n.news.naver.com/mnews/article/001/0015043746?sid=103

On the 13th, girl group NewJeans issued a formal notice to their agency, ADOR, stating, “If our demands are not met, we will terminate the exclusive contract.”

This 'ADOR situation' began in April with an audit directed at the former CEO of ADOR, Min Heejin, and now increases the possibility of an exclusive contract dispute.

According to the music industry, the five members of NewJeans: Kim Minji, Hanni Pham, Danielle Marsh, Kang Haerin, and Lee Hyein, sent this notice under their real names.

In the formal notice, the members demanded that "all major contract violations be corrected within 14 days from the date of receipt of this letter."

The specific details of their demands have not been disclosed.

---

Date: November 13, 2024

To: ADOR, CEO Kim Joo-young.

From: Kim Minji, Hanni Pham, Danielle Marsh, Kang Haerin, Lee Hyein

Subject: Request for Correction of Exclusive Contract Violations

We wish ADOR continued success. Through this letter, we, the members of ADOR group, NewJeans—Minji, Hanni, Danielle, Haerin, and Hyein (hereinafter referred to as 'NewJeans')—express our views and request that ADOR correct the violations of our exclusive contract as outlined below. Please correct all significant violations of the exclusive contract within 14 days of receipt of this letter (Article 15, Section 1 of the exclusive contract).

Below is a summary of the main issues regarding ADOR’s violations of the exclusive contract:

A. In response to HYBE’s decision that “New can be discarded, and a fresh start made,” we ask ADOR, as NewJeans' management company, to take all necessary measures. During a recent National Assembly audit, it was confirmed that a phrase in HYBE's internal Music Industry Reported stated, "We struggled with the 'New-A-Reu' (NewJeans, IVE, LE SSERAFIM) wording for days, but starting fresh without 'New' would be ideal.

---

NewJeans highlighted their concerns by stating, “HYBE’s decision to ‘discard New’ (referring to NewJeans) and start afresh should prompt ADOR, as our management company, to take all necessary actions.” They added, "During a recent National Assembly audit, it was confirmed that a phrase in HYBE's internal Music Industry Reported stated, "We struggled with the 'New-A-Reu' (NewJeans, IVE, LE SSERAFIM) wording for days, but starting fresh without 'New' would be ideal."

All five members signed the final page of the notice.

NewJeans stated, "If ADOR does not accept our demands for correction, we will proceed to terminate the exclusive contract." They added, "There are rumors involving NewJeans members' families and acquaintances that are groundless and have no connection to NewJeans."

The group also warned, “We will respond firmly to anyone spreading false rumors to defame NewJeans.”

-NewJeans really held out for a long time… Fighting.

-Finallyㅜㅜ Let's escape HYBE.

-How many f*cking chances did they give already?ㅋㅋㅋㅋㅋㅋㅋㅋㅋ HYBE can go flop for all I care. NewJeans, fighting💖💖💖💖💖

-I'm rooting for NewJeans' safe escape from HYBE.

-If they want to survive, they need to live HYBE. How can they survive being under the same roof with that jealous pig.

-I'm so proud of NewJeans, fighting.

-I hope everything works out for NewJeans.

-NewJeans is too good to be buried under a trash company like HYBE.

-I still can't forgive HYBE for canceling their fanmeeting. Hurry up and leave that company.

-I'm rooting for every moves NewJeans take!!!

-Fighting, NewJeans! I'm cheering for your fresh start!

-Fighting, NewJeans. The public is on your side.

-Seems like things are going the way Min Heejin wanted after allㅠㅠ

-I hope things work out in NewJeans’ favor.

ADOR's CEO Kim Jooyoung is being suspected of ((((gaslighting))) the underage members of NewJeans

During the meeting on the 23rd, CEO Kim Joo-young suddenly started crying in front of the NewJeans members while talking. It was really shocking. It felt like she was making the girls feel guilty, as they still do not have much life experience, and she's the CEO, especially when she's still not that close with the girls. They were actually discussing situations where we felt we had been wronged. One member even cried and asked, "Why are you turning us into the bad people here?" The mothers apologized, saying, "You girls are still at the age where you should be in school. As parents, we're sorry for putting you through this."

Gaslighting isn't just about yelling, violence, or control.

Making the victim feel guilty is also a classic form of gaslighting.

Right now, there’s controversy over whether Kim Jooyoung is gaslighting the underage members of NewJeans, some of whom are still legally classified as (((children)))

theqoo

-How far is HYBE planning to go with their disgusting behavior?

-Why on earth is she crying and shit??

-This is getting me goosebumps... How is someone like that a CEO?

-Hul... This is truly shocking. What on earth is she doing in front of underage girls and girls who barely became an adult?

-This is so absurd. I thought she was the one who said that she barely has any emotional connection with them, yet she's the one sitting there using her tears as a weapon.

-This is hilarious.

-ㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋ Initally, I'm just watching to see how far she goes, but it's getting worse. Why is she acting like that towards the girls?

-She cried??

-Why did she cry? Did she cry because she's done nothing?

-Is there really no way for NewJeans to leave?

-Why did she cry? The ones who want to cry are probably the members.

-Even parents wouldn't cry in front of their child. Why does she think she has the right to cry in front of the girls?

-What is an adult doing crying in front of minors?

ADOR proposes a compromise to keep Min Heejin as internal director, not CEO

by Journalist Lee Taesoo

https://n.news.naver.com/article/001/0014947774?sid=103

NewJeans' label, ADOR, held a board meeting on the 25th, the deadline set by the members, and decided to extend Min Heejin's term as internal director.

As tensions escalated, ADOR presented a last-minute compromise. However, ADOR rejected Min Heejin's return to the CEO position, which previously was demanded by Min Heejin and NewJeans, drawing attention to how the situation will unfold.

According to music industry sources, ADOR held the board meeting in the morning and decided to hold an extraordinary shareholders' meeting to reappoint Min Heejin as an internal director. It is reported that Min Heejin also participated in the board meeting as an internal director.

As ADOR's major shareholder with an 80% stake, HYBE expressed their respect for this proposal, making it likely that Min Heejin's term extension as the internal director will proceed smoothly once the shareholders' meeting is held. Min Heejin's current term as an internal director is set to end on November 1.

While maintaining her demand to return to the CEO position, Min Heejin still showed a willingness to accept the offer to be reappointed as an internal director for a three-year term.

However, ADOR's board reportedly decided that it was difficult to accept her demand to return to the CEO position.

theqoo

-Do they think people are f*cking idiots?ㅋㅋㅋㅋㅋㅋㅋㅋ They're the real idiots.

-HYBE owes Min Hee-jin a penalty fee, and now they want to present a compromise?ㅋㅋ Look at them trying to use NewJeans as a shield again.

-This is so absurd. Fighting, Min Heejin and NewJeans.

-They still think fans are fools.

-HYBE is such a dirty company.

-ㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋ Seriously, I’ve never seen such a filthy company in my lifeㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋ

-How is this nonsense considered a compromise?

-Everything they say is nonsense. Just disappear already.

-Suddenly they’re backing down? Isn’t it contradictory to accuse of breach of duty but then reappoint her as an internal director?

-Let's just go to court.

-Do they not know what 'compromise' means?

-Min Heejin should just go ahead with the lawsuit.

NewJeans STRM Announcement

A Bunnies asked Billboard to cover not only HYBE's claims but also CEO Min Heejin's perspective. Fair reporting is necessary, especially since the difference between the two sides is quite significant.

In response, the Billboard columnist who wrote the article stated, "So far, all communication with ADOR and CEO Min Heejin has been handled by HYBE. I have tried to reach her through many different ways, but at least among international journalists, there is currently no direct way to hear her statements."

In other words, all statements or conversations reported by international media regarding ADOR and CEO Min Heejin are all managed by HYBE.

Additionally, HYBE acquired the American PR agency 'The Agency Group PR LLC (TAG)' earlier this year, which specializes in reputation and crisis management. This raises suspicions that HYBE is also working in the same way in the U.S.

theqoo

-Is that even possible.......?

-I'm tired of HYBE's PR tactics. Now they're acting out in the U.S.? Oh wait, they've probably been doing it for a while.

-They must have a lot of moneyㅎㅎㅎ

-They have control over media in both Korea and the U.S. What kind of entertainment company does this?? It's insane, almost scary... Am I the only one who's worried about HYBE's idols? If they get on the company's bad side, they'll be screwed.

-HYBE has to go down in order for Min Heejin to survive... That's scary...

-They're evils

-They really have no shame.

-Hul... I never thought of that.

-That's very cheap of HYBE. Everything they do reeks of foulness.

-I think it's time to stop here; it's getting weirder and weirder... I feel like they’ll collapse on their own at this rate.

-I'm just scared of what this company is doing.

-If my faves were under HYBE, I can’t help but worry about when they might face the same fate as NewJeans.

-HYBE is truly a crazy company.

-I was wondering where they were spending their money.

HYBE: "Min Heejin's dismissal? It was ADOR's independent decision... Unrelated to shareholders' agreement"

by Journalist Myung Heesook

https://m.entertain.naver.com/article/311/0001771472

On the 13th, HYBE stated to Xports News, "The shareholders' agreement is a contract signed between HYBE and former CEO Min Heejin, but it has already been terminated. If there are reasons for termination, it can be terminated by written notice. And once it is terminated, the shareholders' agreement loses its effect."

They continued, "A lawsuit to confirm the termination of the shareholders' agreement has been filed to legally confirm this, so we're waiting for legal judgment. The dismissal of former CEO Min Heejin was decided independently by ADOR's board of directors. It has nothing to do with HYBE or the shareholders' agreement."

Additionally, HYBE expressed, "We regret that former CEO Min, who previously emphasized the importance of independent management for ADOR as a separate company, is not complying with the board's decision."

...ㅋㅋ

+

Independent decision...?

At that time, the injunction was filed only against former CEO Min, so her close associates, Vice President Shin and Director Kim, were dismissed from their positions as internal directors. These positions were then filled by HYBE's personnel: Kim Jooyoung (CHRO), Lee Jaesang (CSO at the time, currently CEO), and Lee Kyungjoon (CFO).

theqoo

-How stupid do they think the public is?ㅋㅋ No wonder they tried to scam the public with Suga's caseㅋㅋ

-It’s clear they see the public as fools.

-Every time they open their mouth, they lie.

-These guys are seriously unbelievable...

-They're stupid. That's why they think everyone else is stupid just like them.

-At this point, aren’t they just scammers? Do they think running a business is a joke?

-You guys are beyond bullies now. You’re just scammers. Every time you open your mouth, you lie.

-This is becoming funny now...ㅋㅋㅋ

-Do they think people are stupid just because we like idols and spend money on them?ㅋㅋㅋ Unbelievable.

-They’re really underestimating the public.

-Who would believe this? It’s so pathetic.

-That's very low of them.

-Are they thugs or what?ㅋㅋㅋ The level of their rudeness is legendary.

Shocking situation between ADOR and Min Heejin revealed today

HYBE-Min Heejin's situation began as internal complaints about ILLIT's plagiarism. Now, it has eventually become a situation where ADOR is being 'eaten' by BE:LIFT Lab.

ㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋㅋ Who benefits from this multi-label system...?

They stripped former CEO Min Heejin's management rights and reduced her role to a 'content producer.'

ADOR used the separation of 'production' and management' within their organization to justify Min Heejin's dismissal from her position. However, in reality, Min Heejin was not given any control over production-related teams.

All departments related to artists and content creation (including Artist Development Team, Content Planning Department, and Performance Directing Team) were assigned to Director Lee Dokyung (Vice CEO).

Director Lee Dokyung, who is also the Vice CEO of HYBE IPX, was appointed as director of ADOR on the 2nd of this month. The CEO of HYBE IPX, Kim Taeho (Who is also the CEO of BE:LIFT Lab), is the one who filed a lawsuit against former CEO Min Heejin. The work that Director Lee Dokyung (CEO Kim Taeho's close associate) is responsible for at HYBE IPX had nothing to do with production and was mostly related to marketing. The current CEO of ADOR, Kim Jooyoung, also does not have any prior experience in label management, which makes ADOR her first practical experience.

BE:LIFT Lab's CEO, Kim Taeho, is also holding the position of Chief Operating Officer (COO) at HYBE.

He is the person who appeared in BE:LIFT Lab's explanation video regarding plagiarism that was posted in May, the one who said 'NOT NewJeans,' 'So bad,' 'Puppy,' etc.

I didn't realize it just from watching the video, but he's a pretty influential figure.

At the age of 23, he founded a PR and marketing company specializing in entertainment. He briefly held positions at various places like Hangyoreh, Daum Marketing Center, Domo Co., NHN, Poolus, and others, jumping from one to another. After 20 years, in 2018, he returned to the entertainment industry and was appointed as the CEO of BE:LIFT Lab.

He is currently holding the dual roles of COO of HYBE (previously HYBE Solutions, HYBE 360, HYBE IPX, HYBE Brand Synergy, HYBE Media Studio) and CEO of BE:LIFT Lab. HYBE Solutions appears to be a large division within HYBE that oversees various shared services within the company.

Until recently, he was also a co-CEO of Weverse Company. Among the HYBE executives, he has been featured in the media even more frequently than former CEO Park Jiwon.

-The whole situation started after HYBE forcibly seized ADOR employees' laptopsㅋㅋ They extracted all the concepts that Min Heejin and ADOR had planned and everything else, and they're probably using it all for themselves now.

-This is giving me goosebumps.

-Why even have a label system if this is how it’s going to be? And why is someone in charge of management getting involved in producing?

-These old men with terrible taste, no matter how much they try to copy, it’s still hopeless.

-I can't believe they'd go this far just because they hate one person. With all of this chaos happening, it's understandable NewJeans wouldn't want to stick aroundㅎ

-Honestly, from now on, whenever a new concept comes out, I’ll keep wondering, 'Is this something they stole from ADOR?'

-No wonder why NewJeans felt the need to do that live broadcast.

-Whoa... How can NewJeans properly work under someone like that?

-Even the devil would seem less evil compared to this. They're pure evil.

-I hope NewJeans can safely part ways with them.

-What a total mess.

-I'm worried they might have even stolen what NewJeans was preparing.

-Oh Gosh... I can't imagine how hard it must be for the girls....ㅠㅠ

Former ADOR Employee: "Min Heejin's Deception is Infuriating"

by Journalist Jang Inyoung

https://m.entertain.naver.com/article/311/0001760149

B shared her reaction to Min Heejin's statement posted on social media, recalling how they missed the initial storm of posts. "I didn’t see Min Heejin's Instagram story in real time. I came home late after working overtime and went to bed without checking my phone. I wasn't even following Min Heejin, so I found out about it from messages from others. They told me to see if I gave her permission to post the Kakao Talk messages she posted and whether the content of the messages seemed off."

"I spent the entire morning stressed and crying. I had affection for both Min Heejin and the ADOR organization. I enjoyed ironing Min Heejin's training clothes when we were on business trips. I was even pleased to help with various tasks at the 'Golden Disc Awards' event. I felt proud to be able to help Min Heejin and worked sincerely for years. However, it’s upsetting how a single comment from her turned me into a mad person and how she trampled on me. While Min Heejin makes every effort to protect her career and insists that illegal messages are unacceptable, does that mean such things are an exception for me? I was genuinely moved to tears."

Earlier, when Min Heejin was criticized for siding with A and ignoring the victim, B, during the ADOR sexual harassment case, she claimed this was a "distortion." She also said her involvement and mediation led to a resolution of the case, which B found offensive.

B stated, "From my perspective, it is unreasonable for her to call it 'mediation' in the first place. The mediation between A and me happened only after I left and sent Min Heejin a message. The term 'attempt' is more accurate. Although she made efforts, when the incident (the sexual harassment the executive did) occurred, Min Heejin protected the executive and influenced the internal investigation."

A media outlet revealed a chat room where Min Heejin and A exchanged derogatory remarks targeting B, which caused controversy. B commented, "It is true that they made insults directed at me and talked about me behind my back. It’s clear that Min Heejin defended A and influenced the internal investigation. In order to neutralize my report, I gathered evidence and protested to HYBE. Min Heejin was far from a mediator."

B added, "I'm really upset about the Kakao Talk messages she posted. It shows how Min Heejin usually talks in real life. While she doesn’t curse in front of employees, she often uses such language when gossiping about third parties."

After investigating B's report, HYBE concluded that (sexual harassment) complaint that was "difficult to determine if it reached the level of disciplinary action." However, they recommended Min Heejin give a "stern warning" to A since his actions were inappropriate. This is also mentioned in B’s statement.

B explained, "HYBE recommended a 'stern warning' for A, which is within Min Heejin's authority. However Min Heejin rejected this, even refusing to warn A." B rejected A's offer of a new position, saying, "Facing the perpetrator was too difficult. It was a position I had no choice but to refuse."

Regarding the claim that Min Heejin cleared up misunderstandings with A, B said, "For office workers, it's rare to refuse reconciliation when a boss and representative ask. It’s upsetting and disheartening that Min Heejin distorted these issues in her explanation."

Realizing that the investigation into the sexual harassment case had not been conducted properly since she left ADOR, B said, "When the conflict between HYBE and Min Heejin resurfaced in April, I was the subject of the investigation because I was a former ADOR employee who had worked closely with the management. I was shocked to learn that the process of handling the report was unfair and that it was not even properly investigated, and that Min Heejin even gossiped about me. I wanted to live quietly and thought that even if it was publicized, it would only result in an apology from the two parties. It was out of loyalty to the ADOR organization, Min Heejin, and A."

theqoo

-As an employee myself, this is really heartbreaking.

-Stay strongㅠㅠㅠ

-Turns out that Min Heejin is like HYBE to someone...

-Ah.. She didn’t think of them as colleagues.. and didn’t care for them as a superior or representative.. cursing at artists and employees... what kind of person is this;;

-Wow... I hope the victim stays strong.

-Poor victim... It’s tragic.

-If she had apologized to the victim from the start, it would have been fine, but instead, she’s talking about irrelevant matters.

-I hope the victim will receive a proper apology.

-It seems Min Heejin is totally siding with A (the perpetrator)...

-I hope the victim stays strong and gets the results she wishes for.

-It's really heartbreaking to hear this.

-I hope the victim gets through this and finds peace.

-Min Heejin’s attitude is really bad.

-No matter what, the fact that Min Heejin cursed at employees and artists is unforgivable.

-So heartbreaking... Please stay strong.

Min Heejin Remains Silent on Harassment Cover-Up Controversy for 6 Days Despite Victim’s Disclosure

Min Heejin, CEO of ADOR, has maintained silence for six days amid ongoing controversy over allegations of covering up a sexual harassment incident within the company, despite the victim’s revelations.

On August 8, B, a former ADOR employee, disclosed on their personal account that Min Heejin’s statement posted on July 31 included derogatory terms like "bitch" and "mentally ill" to refer to B, who was mentioned as a victim in the context of the harassment and Min Heejin’s attempts to cover it up.

B stated, "Min Heejin, who has shielded the perpetrator, A, and created chaos with insults and verbal abuse against lower-level employees, has used the pretext of revealing her grievances to publicly disclose the former employee's private messages without consent or understanding. It’s unacceptable that Min Heejin continues to spread falsehoods, claiming that the target of her insults was not me and that the messages were edited."

B also claimed, "I heard that Min Heejin even refused to take stern action against A. I recently learned that from the day I reported the issue, Min Heejin actively claimed A’s innocence throughout the investigation and subjected me to extreme insults like ‘crazy bitch’ and ‘insulted life.’ It’s disheartening as a loyal employee to be portrayed as someone who ‘is so bad at work,' 'whines and causes trouble,' and 'left the company before getting fired' just to invalidate my complaint. Min Heejin shared the complaint details with A in real time, proposed and reviewed A’s objections, and was thoroughly aligned with the perpetrator."

B has urged for a sincere apology from Min Heejin and A, but Min Heejin has remained silent for the past six days. Attention is now focused on whether Min Heejin will provide a second official statement before her scheduled appearance at the '2024 Hyundai Card DaVinci Motel' talk event in Itaewon, Seoul on September 27.

-It’s chilling to see someone who pretended to be a victim behaving the same way towards their employees...

-Isn’t this more than just a matter of an apology?

-There are still a lot of comments about Min Heejin and HYBE, but there’s barely any interest in this issue... The selective blindness is really severe.

-It’s hilarious how someone who used to fiercely argue is now staying silent. It’s so funny.

-It’s really funny how people who defended Min Heejin and supported her are now pretending they didn’t see this news. Hilarious.

-I’m not interested in the HYBE and Min Heejin conflict. What I find most unfortunate is that a powerless woman had to leave the company without properly expressing her grievances about the injustice she suffered.

-I’m shocked by people’s reactions. Why is there so little interest in this matter? Isn’t this exactly a case where a company representative is mistreating a powerless female employee?

-Why is it only quiet at times like this?

-It’s funny how quiet it is here.

Min Heejin met with Naver and Dunamu, asking them to 'Acquire ADOR' in

by Journalist Kim Jongyong

On the 16th, sources from the investment banking (IB) industry revealed that CEO Min met with Song Chihyung (Chairman of Dunamu) and representatives from Naver to propose the acquisition of ADOR. CEO Min reportedly told Chairman Song to 'pressure HYBE into selling ADOR' as Dunamu is the 3rd-largest shareholder of HYBE, with a 5.6% stake, giving them the power to appoint directors.

HYBE discovered CEO Min's contact with Naver and Dunamu when they audited CEO Min's activities. Previously, HYBE confirmed that CEO Min had illegally downloaded sensitive business information, such as artists' dividend details and regional income, which only HYBE manages. HYBE started an internal audit on April 22nd to investigate if CEO Min was trying to bring in outside investors to force HYBE to sell its shares in ADOR, which would be an attempt to take control of the company.

During the audit, HYBE reportedly found Kakao Talk messages on CEO Min's computer that showed she had contacted Naver and Dunamu. These included messages where CEO Min said things like, "Song Chihyung doesn't understand what I'm saying. XX," and "Naver understands a bit better." Previously, HYBE had also revealed a conversation where CEO Min responded "jackpot" to a plan by the ADOR vice president to secure cash and buy ADOR's shares from HYBE through a financial investor.

theqoo

-Honestly, I can totally understand why she asked them to acquire ADOR...

-Seriously, what's going on?

-Min Heejin seemed to ask Dunamu to pressure HYBE to sell ADOR, since Dunamu is one of HYBE's shareholders. Soon, there will likely be articles denying about this accusation. However, based on this alone, Min Heejin seems to be in a disadvantageous position.

-Just go to court already..

-It's so annoying how no one's playing along with HYBE's propagandaㅋㅋㅋㅋ

-It's been over two years since HYBE and Dunamu exchanged billions of won in shares. Although the two of them have maintained a close relationship, strengthening business partnerships, the cooperation between the two companies hasn't yet produced significant results.

-If this is true, we need to know the exact details to judge whether it's true that ADOR was trying to take over management rights.

-Why are they going through Min Heejin's personal Kakao Talk messages? It's scary. She can't even chat with her friends?

-Let's just talk in courtㅋㅋㅋㅋ

-Instead of those Kakao Talk messages, does HYBE have any other evidence that CEO Min met with Naver and Dunamu?

-That's nonsenseㅋㅋㅋㅋ

-It seems like they spend all day going through Min Heejin's Kakao Talk messages line by line.

-Even so, it doesn't change the fact that HYBE's a mess, right?

-The legal battle will probably last for more than a year... It's going to be extremely noisy until then. It's going to be painful for the fans.

HYBE's Side: 'Min Heejin's Lies Exposed One by One... Let the Truth Be Revealed in Court'

HYBE responds to Min Heejin's claims.

On the 16th, HYBE stated, "As Min Heejin herself publicly disclosed today, if conversations with the investors were indeed about taking over management, it wouldn't make sense. Min Heejin has deceived the public by claiming she never met with investors, which she admitted during the press conference on April 25th. However, evidence exposes that she's lying. We expect everything to be clarified in court."

Furthermore, HYBE strongly urged Min Heejin to not use the term 'ADOR's side' in public statements as the whole dispute was started by Min Heejin, not ADOR.

Min Heejin's side responded to HYBE's claims, stating "Analyst A, whom HYBE accused of facilitating meetings between ADOR's management and investors, will reveal the truth." ADOR clarified that the reported meeting was part of a series of meetings organized by Analyst A regarding investments in Korean culture, including K-pop, K-dramas, K-games, and various Hallyu-related industries. They emphasized that it's wrong to call it a meeting to sell ADOR.

Below is HYBE's statement:

Hello, this is HYBE. Regarding the statement distributed by Min Heejin's side today, we would like to share our stance.

1. Min Heejin deceived the public at the press conference on April 25 by saying, "Bring the investors who conspired with me," pretending as if she had never met any investors. However, evidence and facts have gradually revealed her lies. We hope everything becomes clear through investigations and in court.

2. Additionally, we strongly urge Min Heejin to not use the term 'ADOR's side' when making public statements. This management takeover is initiated by Min Heejin and not related to ADOR.

-Looks like HYBE really has nothing more to say nowㅋㅋㅋㅋ

-HYBE's lies just keep coming out.

-They're talking nonsense, those jerks. They're the ones causing problems, why are they blaming others? Wake up, you crazy people!

-Isn't it HYBE's lies that are being exposed?

-Here we go again.

-It's really annoying how they only selectively respond to things they want to respondㅋㅋㅋㅋ They rush out to make a statement, but they can't even properly deny itㅋㅋ

-Oh, losers, then don't use HYBE's name, use Bang Sihyuk or Park Jiwon instead.

-But until now, only HYBE's lies have been revealed, right?

-Until now, only HYBE's doing all the talking. Every time their lies got exposed, they rush to put out statements. But they're so shallow that their statements barely have any content.

-They just fabricate things whenever they open their mouths.

-Have some dignityyyyyyy!!!!

-Everything that's been revealed so far is just HYBE's nonsense.

-These crazy bastards are getting scared, that's why their statements are getting shorterㅋㅋㅋㅋ Don't you have anything to say, you jerks?ㅋㅋㅋㅋ

-Shame on you, HYBE, have some self-respect~~~~~~~~

-Shameful.

-Where did the evidence and facts go? Show them to me too.
