Something That Zico Knows But Min Heejin Doesn't

Min Heejin, the CEO of Adoer who refers to herself as the "mother" of the group New Jeans, seems to lack an understanding of capitalist principles. While claiming, "I gave birth to New Jeans," she expressed the feeling of childbirth as if she had experienced labor pains, but this overlooks the capitalist perspective and invites criticism of "excessive self-consciousness."

It's an undeniable fact that bringing a life into the world requires significant effort and role-playing from a mother. However, it's impossible for a mother alone to give birth to a child. Both a father and a mother are necessary for the birth of a life.

If we accept Min Heejin's claim that she is the "mother" of New Jeans, then "New Jeans' father" is HYBE. HYBE invested 1.61 billion won to establish ADOR and paid a significant price to send New Jeans members, who were trainees under Source Music, to ADOR. Additionally, HYBE mobilized various capital and systems to support New Jeans' debut.

New Jeans is a group born from the wealth of its "father" and the planning ability of its "mother." If these two conditions had not been met, today's New Jeans would undoubtedly not exist. Even if we admit Min Heejin birthed New Jeans, it was only possible because HYBE provided the money and support. In other words, she created something with other people's money. Before claiming her achievements, Min Heejin should recognize and respect HYBE's financial strength and support. If she wanted to claim full ownership of New Jeans, she should have started by establishing her own company based on her own capital and launched it with her own money.

What's troubling about this situation is Min Heejin's strong desire to claim ownership over New Jeans. She acts as if the entire success of New Jeans is solely because of her efforts. While it's natural for her to care deeply about New Jeans and want to support it, her behavior is just too much. Even though Min Heejin might be really good at planning and has a great intuition, if she insists that she's the only reason for New Jeans' success, who would want to work with her? This recent drama within HYBE might have something to do with Min Heejin's attitude.

Zico, the leader of KOZ Entertainment, a subsidiary label under HYBE, who is also a singer and producer, drew attention when asked about the difference between being under HYBE and being with a smaller agency he previously worked with. He said, "The difference lies in financial power. (Smaller agencies) have limited resources and opportunities," adding, "I started out not with a smaller agency, but almost from scratch." His acknowledgment of HYBE's financial strength and established system was noteworthy. Although Zico's mention of his experience transitioning from a smaller agency during Block B's debut to eventually setting up his own agency under the umbrella of a large corporation like HYBE was brief, it provided insight into the differences.

As an idol, producer, and leader of a label, Zico, having experienced various environments, acknowledged and appreciated HYBE's solid financial resources and robust system. However, Min Heejin, on the other hand, solely boasts about her own skills and directs intense criticism towards HYBE. While Zico expresses gratitude, Min Heejin remains unaware.

Will New Jeans Follow TVXQ's Footsteps? ... Possibility of Contract Termination Lawsuit

There is speculation that New Jeans may file a lawsuit against HYBE to terminate their contract, just like the approach that was taken by TVXQ's to end their contract with SM Entertainment. 

According to legal sources on May 1st, ADOR plans to hold a board and shareholders meeting later this month. On the previous day, attorney Lee Sokyun, representing ADOR, met with reporters after the hearing for shareholders meeting permit application at the Seoul Western District Court. Lee announced, "The board meeting will be held by May 10th, and the shareholders meeting will take place by the end of May."

Earlier, HYBE had announced plans to hold a shareholders meeting to dismiss Min Heejin as the CEO of ADOR. HYBE and Min Heejin have each appointed attorneys specializing in mergers and acquisitions to prepare for intense legal battles. There are speculations that this lawsuit could involve hundreds of billions won.

In the industry, people are watching to see what choices New Jeans' members will make. If HYBE and Min Heejin reach an agreement and maintain their contract, it's unlikely that New Jeans will cancel their contract with HYBE. However, if HYBE gains the upper hand and successfully removes Min Heejin, the whole situation will change. According to Min Heejin, New Jeans' members are really close to her. They even cried and called her when they heard she was facing the risk of dismissal, even offered to explain directly through their fan communication application. "Given the situation, it's possible that New Jeans may file for an injunction lawsuit to terminate their contract with HYBE, siding with Min Heejin."

Previously, TVXQ filed an injunction lawsuit against SM Entertainment in 2009. At that time, three members of TVXQ (Xiah Junsu, Hero Jaejoong, and Mickey Yoochun) emphasized the unfairness, stating that "A 13-year contract is essentially a lifetime contract." The court partially accepted their request. Interestingly, this case was also handled by the same law firm that handles HYBE-ADOR dispute. 

If New Jeans were to make a similar decision as TVXQ, the main issue would be whether if HYBE treated them unfairly, just like what Min Heejin claimed. It's also important to determine if it can be proven that the contract was so disadvantageous as to warrant its cancellation.

However, even if an injunction is filed, as in the case of TVXQ, if some members of the group do not agree to the injunction, in the worst case scenario, the situation could escalate to the point of the group splitting up.

Is Time on Min Heejin's Side? HYBE Losing Ground on 'Justification'

It's been a week since the conflict between HYBE and CEO Min Heejin surfaced. With CEO Min Heejin's refusal to hold a board meeting as requested by HYBE, it might take another month before HYBE holds the board meeting as planned. It is expected that the battle will escalate to CEO Min Heejin's final dismissal. 

Meanwhile, public opinions are changing. As public sentiment now shifts towards CEO min Heejin's side after the press conference, suspicions against HYBE are growing. During this process, there are worries regarding the decline of HYBE's multi-label system and the competitiveness of its intellectual property. Moreover, many also worried that HYBE's effort to to stop others from taking control of management may ultimately lead to their own downfall.

According to sources, the Seoul Western District Court will conduct a meeting regarding the shareholders' meeting as requested by HYBE at 4.35 PM today (30th).

Since HYBE's request to hold a board meeting with ADOR was refused by CEO Min Heejin on the 22nd, it will take about 3 weeks for the court to schedule investigation and reach a final decision. After making their decision, the court will issue a notice of shareholder meeting, and it will take another 15 days for the actual meeting to be held. It is expected that the meeting will not take place until early June, at the earliest. Considering there are many holidays in May and June, there's also a possibility the meeting will be delayed until mid-June or even later. 

Even if HYBE dismisses CEO Min Heejin after the meeting, it seems like the legal dispute will still continue. According to Article 385-1 of the Commercial Act, if a director is dismissed before the expiration of their contract without justifiable reason, they can claim damages against the company. Justifiable reasons mentioned here include violations of laws, difficulties in handling duties due to mental or physical incapacity, and loss of fundamental trust in management capabilities due to failure in business planning and execution. However, court interpretation is required in these cases. 

Another matter of concern is CEO Min Heejin's 18% stake in ADOR after dismissal. There might be future revisions regarding HYBE's call options on CEO Min Heejin's stake and CEO Min Heejin's put option authority. Attorney Lee Sookyun, representing CEO Min Heejin, noted in the press conference, "There were unreasonable aspects in the shareholders' agreement that was made last year between HYBE and CEO Min Heejin. Therefore, we have been negotiating for a re-negotiation this year." Hence, it is anticipated that legal disputes related to stake management will escalate in the future. 

Analysis suggests that as the dispute continues, it seems like HYBE has more to lose. First of all, there are concerns about the failure of their multi-label system. This system could ironically lead to a decline in their competitiveness. As an investment banking industry insider remarked, "The essence of management disputes ultimately boils down to a battle of legitimacy; it's about who has the better reasons. It's a battle to see who's more justified: HYBE, who is concerned about losing control of their management, or CEO Min Heejin, who has raised allegations of internal whistleblowing and unfair contracts."

ILLIT and New Jeans from the perspective of currently active producer and choreographer

 

It's quite noisy now. Since the debut of ILLIT, there have been a lot of discussions. We've talked about it a few times, "When we see ILLIT, we think of New Jeans." But when it comes to ILLIT, the vibe was too similar from the start. We talked about it, and although there were many supporters, there were a lot of similar opinions. "It's the same company, so what can you do?" But because these labels are all independent companies, even though it's understandable for the genre's characteristics, the choreography and visual aspects are too similar, making me wonder if it's okay for the same company to do this. The recording date is Tuesday, April 23rd, I don't know how the dispute will end, but anyways you look at it, I'm disappointed either way. There's a part that worries me a little. In the K-pop scene, with big companies continuously producing similar groups and continuously hitting, self-replication. I hope this is an opportunity for something different.
